Terms of Service

In plain English: You pay monthly per license through Stripe. Cancel anytime and you keep access through the period you paid for. Your documents never leave your computer — we only handle licensing data. You remain the professional of record for every spec you produce. The legally binding version is the full text below.

These Terms of Service (“Terms”) govern your purchase and use of the ConfettiEdits software subscription and your use of the confettiedits.com website. ConfettiEdits is provided by ConfettiEdits, LLC, registered in Michigan, United States (“Company,” “we,” “us”).

By purchasing a subscription or using the website, you agree to these Terms. Use of the software itself is additionally governed by the End User License Agreement (“EULA”) presented during installation, which is incorporated into these Terms by reference. If these Terms and the EULA conflict regarding use of the software, the EULA controls; regarding billing and the website, these Terms control.

1. The Service

ConfettiEdits is a Windows desktop application and Microsoft Word add-in for encoding and applying specification editing decisions. The software runs entirely on your computer; your documents are never transmitted to us. See our Privacy Policy for details on the limited licensing data we collect.

2. Subscriptions and Billing

2.1 Access to the software requires an active paid subscription, billed per license on a recurring basis through Stripe, our payment processor.

2.2 By subscribing, you authorize recurring charges to your payment method until you cancel. Charges renew automatically at the end of each billing period.

2.3 Each subscription seat corresponds to one license key, and each license key permits installation on one computer at a time. To transfer a license to a different computer, contact support.

2.4 We may change subscription pricing with at least 30 days’ advance notice. Price changes take effect at your next renewal after the notice period.

2.5 Applicable taxes are calculated and collected at checkout as required by law.

3. Cancellation

3.1 You may cancel at any time through the subscription management portal (accessible from our website) or by contacting support.

3.2 Cancellation takes effect at the end of your current billing period. You retain full access to the software through the period you have already paid for. No prorated refunds are issued for the remainder of a billing period.

3.3 When your subscription ends, your license keys are deactivated and the software will no longer validate.

4. Refunds

4.1 Subscriptions may be cancelled at any time as described in Section 3. Refunds are not guaranteed but may be issued at the Company’s sole discretion. To request a refund, contact support with your company name and purchase email address.

4.2 If a refund is issued, payment is returned to the original payment method, associated license keys are deactivated, and software access terminates immediately.

5. Failed Payments

If a renewal payment fails, we will retry the charge and notify you through our payment processor. Your access continues during a brief grace period while payment is retried. If payment cannot be collected, your subscription will be suspended and license keys deactivated until payment is resolved.

6. Acceptable Use

You agree not to share or resell license keys, circumvent license validation, reverse engineer the software, or use the service in violation of applicable law. The complete list of software use restrictions appears in the EULA.

7. Professional Responsibility

ConfettiEdits is a document-processing tool. You retain sole professional responsibility for reviewing, verifying, and approving all specification documents and other output produced with the software before use in any project. The Company is not responsible for errors, omissions, or professional decisions reflected in documents you produce.

8. Beta Programs

From time to time we may offer beta access, promotional pricing, or pre-release features. Beta software and features are provided as-is, may change or be discontinued without notice, and may be subject to additional terms communicated at enrollment.

9. Support

Technical support is provided by email at support@confettiedits.com. We aim to respond promptly but do not guarantee response times or issue resolution.

10. Disclaimer of Warranty

THE SERVICE AND SOFTWARE ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

11. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM USE OR INABILITY TO USE THE SERVICE OR SOFTWARE. THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Termination

We may suspend or terminate your access for breach of these Terms or the EULA. You may terminate at any time by cancelling your subscription. Sections 7, 10, 11, and 13 survive termination.

13. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflicts of law principles.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected in the version number and effective date above, and continued use of the service after changes take effect constitutes acceptance.
